These Terms of Service define how The Algorithm Club provides services, manages projects, handles third-party costs, protects client ownership, and establishes the responsibilities of both parties.

Introduction

The Algorithm Club provides website development, maintenance, digital consulting, advertising support, online business integration, and related digital services. By purchasing any service from The Algorithm Club, the client agrees to these Terms of Service.

Definitions

  • Client means the person, business, organization, or entity purchasing, requesting, or receiving services from The Algorithm Club.
  • The Algorithm Club means our company, team members, employees, contractors, consultants, freelancers, and authorized representatives providing services under these Terms.
  • Project means any website, application, software, design, consultation, maintenance work, marketing service, infrastructure setup, support request, or other service purchased from The Algorithm Club.
  • Project Scope means the list of features, services, requirements, responsibilities, and deliverables agreed upon before work begins.
  • Deliverables means the final work agreed to be provided, such as websites, applications, designs, source files, graphics, documents, configurations, reports, or other project outputs.
  • Service Charges means money paid directly to The Algorithm Club for labor, development, design, consulting, maintenance, planning, management, support, expertise, and other professional services.
  • Partnership Charges means money paid to third-party services required for a project, such as domains, hosting, cloud services, software subscriptions, advertising platforms, email services, security services, or similar services.
  • Third-Party Provider means any company or service not owned or operated by The Algorithm Club, including hosting providers, cloud providers, domain registrars, software vendors, payment processors, and advertising platforms.
  • Domain means a website address such as example.com.
  • Hosting means the server or online infrastructure used to keep a website, application, or digital service accessible on the internet.
  • Cloud Infrastructure means online computing resources such as servers, databases, storage systems, networking services, and related technology operated by third-party providers.
  • Administrative Access means ownership access, administrator permissions, account credentials, control panel access, or any level of control over a website, application, service, account, or system.
  • Support Period means the period during which support, maintenance, revisions, or assistance are included in a purchased package.
  • Maintenance means updates, fixes, troubleshooting, monitoring, or technical assistance provided after project delivery.
  • Revision means a reasonable change, correction, or adjustment requested within the limits of the purchased package.
  • Defect means a bug, mistake, or technical problem directly caused by The Algorithm Club that prevents a deliverable from working as originally agreed.
  • Intellectual Property means creations protected by law, including logos, trademarks, names, source code, designs, templates, branding materials, documentation, graphics, and other original work.
  • Trademark means a protected business name, logo, slogan, brand identity, or other identifier used to distinguish a business or product.
  • Portfolio Material means projects, screenshots, designs, websites, case studies, demonstrations, examples, or other work displayed by The Algorithm Club to showcase its services.
  • Template means a reusable design, layout, framework, website structure, component, or system created by The Algorithm Club for use across multiple projects.
  • Confidential Information means non-public information shared by either party that would reasonably be considered private, sensitive, proprietary, or commercially valuable.
  • Force Majeure Event means an event outside reasonable control, such as natural disasters, internet outages, cyberattacks, wars, government actions, infrastructure failures, pandemics, or similar extraordinary events.
  • Cyberattack means an attempt to gain unauthorized access to, disrupt, damage, exploit, or interfere with a computer system, website, application, network, or online service.
  • Zero-Day Vulnerability means a previously unknown security flaw for which no publicly available fix or patch existed when the issue was discovered or exploited.
  • Refund means money returned to a Client after payment, subject to the refund, cancellation, and non-refundable cost provisions of these Terms.
  • Cancellation means a Client's decision to stop, terminate, withdraw from, or discontinue a project or service before completion.
  • Business Day means a normal working day of The Algorithm Club, excluding public holidays, company closures, and Force Majeure events.
  • Agreement means these Terms of Service together with any accepted proposal, quotation, invoice, service package, statement of work, written approval, or related document governing the project.

Service Charges

  • Service Charges are fees paid directly to The Algorithm Club for services provided under this Agreement.
  • These charges cover development, maintenance, consulting, support, design, project management, testing, deployment, and related professional services.
  • Service Charges may also include labor, operational expenses, software, infrastructure, administration, marketing, and other business costs reasonably incurred in delivering services.
  • Service Charges compensate The Algorithm Club for its expertise, resources, intellectual property, time, and professional efforts.
  • Service Charges are separate from Partnership Charges and do not include third-party costs unless stated otherwise in writing.
  • Discounts, promotions, or price reductions apply only to Service Charges unless expressly stated otherwise.
  • Discounts do not apply to Partnership Charges, taxes, government fees, hosting, domains, cloud services, advertising budgets, software licenses, payment processing fees, reimbursable expenses, or other excluded costs.
  • The Algorithm Club may allocate Service Charges across planning, development, support, administration, maintenance, consulting, and other operational activities as reasonably required.

Partnership Charges

  • Partnership Charges are fees paid to third-party providers through The Algorithm Club for products, services, subscriptions, or infrastructure required to deliver or support services.
  • Examples include domains, hosting, cloud infrastructure, software licenses, email services, CDNs, advertising platforms, analytics tools, security services, payment processing services, and similar third-party services.
  • The Algorithm Club is not a partner, affiliate, reseller, or representative of any third-party provider unless stated otherwise in writing.
  • Third-party providers may be selected based on cost, quality, reliability, technical requirements, and the Client's needs.
  • Where reasonably possible, The Algorithm Club will provide information regarding the provider, services purchased, and applicable charges.
  • Partnership Charges may be listed separately on quotations, proposals, invoices, or other billing documents.
  • Client-requested changes to providers, services, subscriptions, or infrastructure may result in additional costs, migration expenses, setup fees, service interruptions, or revised timelines.
  • The Client remains responsible for all Partnership Charges incurred before any requested change, including non-refundable purchases, subscriptions, prepaid plans, cancellation fees, migration costs, and unused services purchased on the Client's behalf.
  • The Algorithm Club is not liable for third-party provider actions, outages, pricing changes, policy changes, service limitations, or performance issues.
  • All third-party products and services remain subject to the terms and policies of their respective providers.

Quotes & Estimates

  • All quotations, proposals, estimates, and pricing are based on the information available at the time of preparation.
  • Quotes are estimates only and may be revised if project requirements, scope, features, integrations, dependencies, or technical circumstances change.
  • Additional requirements, Client-requested changes, third-party requirements, or unforeseen technical challenges may affect pricing, timelines, or project scope.
  • The Algorithm Club will make reasonable efforts to notify the Client of material cost changes before proceeding with additional work.
  • No work shall commence until the project scope, pricing, and applicable terms have been approved through a signed agreement, written approval, accepted proposal, invoice payment, or other authorized acceptance.
  • Work outside the agreed scope may be treated as additional services and quoted, billed, or scheduled separately.

Client Responsibilities

Professional Conduct and Respectful Communication

  • The Algorithm Club is committed to maintaining a professional, respectful, and safe working environment.
  • Clients shall communicate professionally and respectfully throughout the project and any ongoing business relationship.
  • Harassment, threats, abuse, discrimination, personal attacks, hate speech, or other inappropriate conduct toward any individual associated with The Algorithm Club will not be tolerated.
  • The Algorithm Club may refuse communication, suspend services, remove personnel, or terminate this Agreement where Client conduct compromises the dignity, safety, well-being, or professional working conditions of its personnel.
  • Repeated abusive or inappropriate conduct may constitute a material breach of this Agreement.
  • The Algorithm Club may retain communications relating to misconduct for operational, contractual, legal, or evidentiary purposes.
  • The protection of individuals associated with The Algorithm Club shall take precedence over the continuation of any business relationship.

Client Delays

  • The Client shall provide required information, approvals, content, access, and feedback in a timely manner.
  • The Algorithm Club is not responsible for delays caused by the Client and may extend project timelines or delivery dates accordingly.

Project Delivery

  • A project is considered delivered when the agreed deliverables, features, or services have been completed and made available to the Client.
  • Project delivery does not include future modifications, feature additions, redesigns, updates, maintenance, support, or other ongoing services unless expressly included in the purchased package or agreed in writing.
  • Certain service packages may include limited modifications, corrections, or support after delivery, subject to package terms. The Algorithm Club shall determine whether a request falls within the included scope.
  • Upon expiration of any included support, maintenance, or modification period, no further services are required unless covered by an active service package, renewal, maintenance plan, or separate written agreement.
  • Recurring services such as hosting, domain management, or infrastructure support will continue only during the active service term and while all applicable fees remain paid.
  • Failure to renew applicable services may result in interruptions, suspension, expiration, loss of access, loss of data, or other provider-controlled consequences.
  • Ongoing support, maintenance, consulting, development, or modifications after delivery may require the purchase, renewal, or upgrade of a service package.
  • Requests outside the agreed scope or active service package may be quoted, scheduled, and billed separately.

Revisions & Scope Changes

  • Included revisions cover reasonable modifications such as minor design adjustments, content updates, corrections, configuration changes, and usability improvements that do not materially alter the agreed project scope.
  • Requests involving new functionality, major redesigns, additional pages, integrations, platform migrations, substantial content additions, or other significant changes may be treated as additional services and may incur separate fees, timelines, or agreements.
  • The Algorithm Club shall determine whether a request falls within the scope of included revisions or constitutes additional work.
  • The expiration of any support period, maintenance plan, revision allowance, or service package does not create an obligation to provide further services unless otherwise agreed in writing.
  • The Algorithm Club will make reasonable efforts to investigate and correct verifiable defects directly attributable to its original work at no additional Service Charge.
  • A "defect" means a failure of the delivered work to substantially perform as expressly agreed at the time of delivery.
  • Complimentary defect correction applies only to issues that:
    • Originate from The Algorithm Club's original work;
    • Can be reasonably verified and reproduced;
    • Were not accepted as known limitations; and
    • Were not caused by Client or third-party modifications.
  • Complimentary defect correction does not apply to issues resulting from Client or third-party changes, misuse, unauthorized access, infrastructure or software changes, third-party service failures, security incidents, or new requirements introduced after project completion.
  • Defect correction does not include ongoing support, maintenance, updates, enhancements, redesigns, feature additions, compatibility upgrades, or continued development.
  • If an issue is determined not to be a defect in The Algorithm Club's original work, assistance may be provided under a separate quotation, support agreement, maintenance plan, or service package.
  • The Algorithm Club is not responsible for future compatibility issues, evolving technical requirements, industry changes, or third-party platform changes unless covered by an active support or maintenance agreement.

Ownership Rights

  • The Client retains ownership of all domains, accounts, subscriptions, trademarks, branding, content, business data, intellectual property, and other assets purchased for or provided by the Client, subject to applicable third-party terms.
  • Nothing in this Agreement grants The Algorithm Club any ownership interest in the Client's business, intellectual property, products, services, or other assets.
  • Subject to ownership verification and reasonable security procedures, the Client may request access credentials, account control, source files, and other materials reasonably required to exercise ownership rights.
  • The Algorithm Club may retain administrative access where necessary to provide ongoing services, maintenance, support, security, or infrastructure management. Such access does not affect the Client's ownership rights.
  • Once administrative access or credentials are provided, the Client assumes responsibility for actions taken by the Client or any party granted access by the Client.
  • The Algorithm Club is not liable for issues arising from Client or third-party modifications, including service interruptions, security incidents, data loss, compatibility issues, performance problems, or other resulting damages.
  • Any investigation, repair, recovery, troubleshooting, redevelopment, or support required due to Client or third-party changes may be treated as additional services and billed separately.
  • The Client acknowledges that ownership and administrative access carry responsibility for the management, security, operation, and maintenance of Client-controlled assets.

Hosting & Infrastructure

  • The Algorithm Club does not own or operate hosting infrastructure, cloud platforms, domain registries, email networks, data centers, or similar services unless expressly stated otherwise in writing.
  • Services may rely on third-party providers for hosting, cloud infrastructure, domains, email, software, security, analytics, payment processing, advertising, and related technology services. Providers may change based on operational, technical, security, or business requirements.
  • Infrastructure and service providers may be selected based on cost, reliability, performance, security, scalability, technical suitability, and Client requirements.
  • Certain services may utilize shared infrastructure or shared-resource environments to improve efficiency and reduce costs.
  • Client requests for specific providers or platforms may be accepted, declined, or approved subject to technical, operational, security, and commercial considerations. Such requests may increase costs, affect timelines, or require additional resources.
  • Where Client-owned services are used, applicable Partnership Charges may be reduced or removed. Service Charges for development, administration, support, maintenance, consulting, integration, and related professional services shall remain payable unless otherwise agreed in writing.
  • The Algorithm Club is not liable for outages, suspensions, pricing changes, policy changes, infrastructure failures, security incidents, data loss, or other events arising from third-party services beyond its reasonable control.
  • All third-party services remain subject to the terms and policies of their respective providers.

Security Responsibilities

  • The Algorithm Club shall make reasonable efforts to implement industry-standard security practices appropriate to the services provided.
  • The Algorithm Club accepts responsibility for security issues directly caused by its negligence, implementation errors, or failure to follow reasonable security standards and shall make reasonable efforts to investigate and correct such issues.
  • No website, application, infrastructure, or digital service can be guaranteed completely secure. The Client acknowledges that cybersecurity risks may exist despite reasonable security measures.
  • The Algorithm Club shall not be liable for security incidents, breaches, outages, data loss, or damages resulting from cyberattacks, third-party vulnerabilities, provider failures, or other circumstances beyond its reasonable control.
  • The Algorithm Club is not responsible for security issues arising from Client actions, weak credentials, unauthorized modifications, third-party services, or failure to follow security recommendations.
  • Security is a shared responsibility between the Client, The Algorithm Club, and relevant third parties.

Content Responsibility

  • The Client is solely responsible for ensuring that business names, trademarks, logos, branding materials, domain names, content, and other assets do not infringe the rights of third parties.
  • Unless expressly agreed in writing, The Algorithm Club does not perform trademark searches, legal clearance reviews, or provide legal opinions regarding intellectual property rights.
  • Where materials are created, modified, or approved based on Client instructions, references, or approvals, responsibility for their use and legal compliance remains with the Client.
  • The Algorithm Club shall not be liable for trademark disputes, copyright claims, infringement allegations, registration refusals, or other intellectual property disputes relating to Client-approved materials.
  • If a potential intellectual property conflict is identified, The Algorithm Club may provide notice or recommendations; however, final approval and responsibility remain with the Client.

Advertising & Growth Disclaimer

  • The Algorithm Club provides technology, design, development, consulting, maintenance, advertising, and related professional services. The Algorithm Club does not guarantee any specific commercial, financial, operational, marketing, or business outcome.
  • Advertising campaigns, marketing activities, search engine optimization efforts, website development, branding initiatives, digital platforms, automation systems, and related services do not guarantee business growth, customer acquisition, profitability, revenue increases, market expansion, or commercial success.
  • Traffic volumes, search engine rankings, advertisement performance, conversion rates, lead generation, customer engagement, sales performance, profits, return on investment, or other business metrics cannot be guaranteed.
  • Business outcomes depend upon numerous factors beyond The Algorithm Club's control, including market conditions, competition, pricing strategies, product quality, customer demand, advertising budgets, economic conditions, regulatory requirements, operational decisions, and the Client's own business practices.
  • Any estimates, projections, forecasts, recommendations, examples, case studies, performance indicators, or statements regarding potential results are provided for informational purposes only and shall not be interpreted as guarantees, promises, warranties, or commitments of future performance.
  • Past performance, previous project outcomes, historical results, testimonials, portfolio examples, case studies, or prior client success stories do not guarantee future results for any particular Client.
  • The Client acknowledges that all business decisions, commercial risks, marketing expenditures, operational choices, and investment decisions remain the sole responsibility of the Client.

Testimonials & Portfolio Usage

  • The Algorithm Club respects the privacy and commercial interests of its Clients and shall not publish testimonials, endorsements, reviews, case studies, project details, or portfolio materials without appropriate authorization where such authorization is required.
  • Testimonials, reviews, endorsements, ratings, recommendations, or similar statements attributed to a Client shall only be published with the Client's consent.
  • Portfolio projects, project showcases, design examples, screenshots, case studies, project summaries, performance metrics, or other marketing materials shall only be displayed where permitted by the Client or otherwise authorized under the applicable agreement.
  • Clients are under no obligation to provide testimonials, reviews, endorsements, referrals, recommendations, public statements, or marketing materials relating to services provided by The Algorithm Club.
  • Where permission has been granted, The Algorithm Club may identify the Client, display project-related materials, describe services performed, and reference publicly available project information for portfolio, marketing, educational, or business development purposes.
  • Clients may request reasonable limitations regarding the disclosure of confidential information, proprietary information, trade secrets, unpublished materials, or commercially sensitive project details.
  • Nothing in this Agreement shall require a Client to publicly endorse, promote, recommend, review, or otherwise support The Algorithm Club.

Refunds & Cancellations

  • Partnership Charges are generally non-refundable once incurred, purchased, activated, provisioned, or paid to third-party providers, except where required by law.
  • The Client acknowledges that project acceptance requires The Algorithm Club to allocate resources, reserve capacity, perform planning, and incur business costs before project completion.
  • If the Client cancels a project after work has commenced, The Algorithm Club may retain a reasonable portion of Service Charges to cover onboarding, planning, resource allocation, labor, administrative expenses, and other incurred costs.
  • Unless otherwise agreed in writing, a minimum of thirty percent (30%) of applicable Service Charges shall be non-refundable once project work has commenced.
  • The Algorithm Club may retain additional amounts reflecting completed work, services rendered, project milestones achieved, resources consumed, third-party expenses, and other unrecoverable costs incurred before cancellation.
  • Complimentary, promotional, discounted, bundled, or included services have no separate refund value and do not create any entitlement to compensation, reimbursement, credit, or refund.
  • Project-related costs incurred for infrastructure, software, subscriptions, cloud resources, development tools, security services, contractor expenses, operational expenses, or other required resources may be treated as unrecoverable and excluded from refunds.

Payment Obligations and Non-Payment

  • Invoices must be paid according to the applicable agreement or invoice.
  • The Algorithm Club may suspend or discontinue services for overdue payments and shall not be liable for resulting delays or losses.
  • The Client remains responsible for all outstanding amounts and charges.

Project Abandonment

  • If the Client remains unresponsive or fails to provide required information for sixty (60) consecutive days, The Algorithm Club may classify the project as abandoned, discontinue active work, and reassign resources.
  • Project reactivation may be subject to availability, revised pricing, updated timelines, and additional fees.
  • No refunds shall be due for completed work, incurred costs, or non-refundable charges.

Payment Disputes and Chargebacks

  • The Client agrees to attempt resolution with The Algorithm Club before initiating a chargeback or payment dispute.
  • The Algorithm Club may provide relevant project, payment, and communication records when responding to a dispute.

Intellectual Property

  • The name "The Algorithm Club", its logos, trademarks, service marks, trade names, branding elements, visual identities, slogans, graphics, icons, designs, marketing materials, website content, documentation, and other brand assets are the intellectual property of The Algorithm Club unless otherwise stated.
  • Nothing contained within this Agreement, any website, portfolio, proposal, invoice, demonstration, template showcase, communication, or service offering shall be interpreted as granting ownership rights, trademark rights, licensing rights, or other intellectual property rights in The Algorithm Club's branding or proprietary assets.
  • Clients, visitors, users, competitors, contractors, and third parties may not copy, reproduce, modify, imitate, distribute, publish, register, commercialize, misrepresent, or otherwise use The Algorithm Club's name, logos, trademarks, trade dress, branding elements, visual identities, marketing materials, or related intellectual property without prior written authorization.
  • The use of The Algorithm Club's name, logos, branding elements, portfolio materials, or trademarks for misleading, deceptive, fraudulent, defamatory, competitive, unlawful, or unauthorized purposes is strictly prohibited.
  • Any goodwill, recognition, reputation, trademark rights, branding rights, intellectual property rights, or commercial value associated with The Algorithm Club and its branding shall remain exclusively owned by The Algorithm Club.
  • The Algorithm Club reserves all rights not expressly granted under this Agreement and reserves the right to pursue available legal, contractual, or equitable remedies against unauthorized use, infringement, imitation, misappropriation, or misuse of its intellectual property.

Force Majeure

  • The Algorithm Club shall not be liable for any delay, interruption, failure to perform, service disruption, or inability to fulfill its obligations where such circumstances result from events beyond its reasonable control.
  • Such events may include, but are not limited to, natural disasters, floods, fires, earthquakes, storms, pandemics, epidemics, public health emergencies, power outages, internet outages, telecommunications failures, cyberattacks, distributed denial-of-service attacks (DDoS), zero-day vulnerabilities, infrastructure failures, hosting provider failures, cloud service disruptions, software vendor outages, labor disputes, strikes, civil unrest, acts of terrorism, armed conflict, war, government actions, regulatory restrictions, legal orders, sanctions, transportation disruptions, supply chain disruptions, or other extraordinary events beyond reasonable control.
  • During the existence of a Force Majeure event, The Algorithm Club's obligations may be suspended, delayed, adjusted, or reasonably extended for the duration of the affected period and any reasonable recovery period thereafter.
  • The Algorithm Club shall make reasonable efforts to minimize the impact of a Force Majeure event and resume normal operations as soon as reasonably practicable under the circumstances.
  • Delays, interruptions, or failures resulting from Force Majeure events shall not constitute a breach of this Agreement and shall not give rise to penalties, damages, refunds, credits, compensation claims, or other liability against The Algorithm Club.
  • The Client acknowledges that certain services may depend upon Third-Party Providers, infrastructure providers, hosting providers, cloud providers, domain registrars, software vendors, payment processors, and other external services whose operations are outside the direct control of The Algorithm Club.

Limitation Of Liability

  • To the maximum extent permitted by applicable law, The Algorithm Club shall not be liable for any indirect, incidental, special, exemplary, punitive, consequential, or business-related damages, including but not limited to loss of profits, loss of revenue, loss of business opportunities, loss of goodwill, loss of data, loss of customers, business interruption, or anticipated savings.
  • To the maximum extent permitted by applicable law, the aggregate liability of The Algorithm Club arising out of or relating to any service, project, agreement, claim, or dispute shall not exceed the total Service Charges actually paid to The Algorithm Club for the specific affected service giving rise to the claim.
  • For the avoidance of doubt, Partnership Charges, third-party costs, hosting fees, domain registration fees, advertising expenditures, software licensing fees, cloud infrastructure charges, subscription costs, and other amounts paid or payable to Third-Party Providers shall not be included when calculating the maximum liability of The Algorithm Club.

Governing Law

  • These Terms of Service, together with any related agreements, quotations, proposals, invoices, policies, or services provided by The Algorithm Club, shall be governed by and interpreted in accordance with the applicable laws of the Republic of India, without regard to conflict-of-law principles.
  • The parties agree to make reasonable efforts to resolve any dispute, claim, controversy, or disagreement through good-faith discussions before initiating formal legal proceedings.
  • Subject to applicable law, any dispute arising out of or relating to these Terms of Service, the services provided by The Algorithm Club, or the relationship between the parties shall be subject to the exclusive jurisdiction of the competent courts located in the jurisdiction where The Algorithm Club maintains its principal place of business.
  • If any provision of these Terms of Service is determined to be invalid, unlawful, or unenforceable, the remaining provisions shall remain in full force and effect to the maximum extent permitted by law.

Changes To Terms

  • The Algorithm Club reserves the right to modify, update, replace, amend, or discontinue these Terms of Service at any time in its sole discretion.
  • Updated versions of these Terms of Service may be published through The Algorithm Club's website, client portal, proposals, quotations, agreements, invoices, or other official communication channels.
  • Unless otherwise required by applicable law or expressly agreed in writing, the most recently published version of these Terms of Service shall apply to future transactions, future service purchases, future agreements, and future engagements entered into after the effective date of the updated version.
  • Services, projects, agreements, quotations, or transactions already accepted before the publication of an updated version shall generally remain subject to the Terms of Service that were in effect at the time of acceptance unless both parties agree otherwise in writing.
  • The Client is responsible for reviewing the current version of these Terms of Service before purchasing services, entering into agreements, accepting quotations, or otherwise engaging The Algorithm Club.
